Terms of Service – Simplism.io BV

These Terms of Service (“Terms”) govern your access to and use of the products and services provided by Simplism.io BV, a company registered in the Netherlands, and its wholly owned subsidiary Simplism.io Development Pte Ltd in Singapore (collectively, “Simplism”, “we”, “our”, or “us”). By accessing or using our services, websites, or applications (the “Services”), you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or organization, you confirm that you are authorized to bind that entity.

1. Services

Simplism provides customer support, messaging, help‑desk, workflow, and related SaaS solutions comparable to modern customer‑engagement platforms. Features may include ticketing, communication channels, automations, integrations, and analytics. The Services evolve and may be updated, modified, or discontinued at any time.

2. Accounts and Eligibility

  • You must create an account to use certain features.
  • You are responsible for keeping your login credentials confidential.
  • You must be at least 18 years old.
  • You must provide accurate and complete information when creating an account.

We may suspend or terminate accounts that violate these Terms or are otherwise misused.

3. Customer Data

Customer Data refers to any data, content, or information you submit, upload, transmit, or store using the Services.

  • You retain ownership of your Customer Data.
  • You grant Simplism a limited license to store, process, transmit, and use your Customer Data only as needed to operate and support the Services.
  • You are solely responsible for the legality, accuracy, and integrity of your Customer Data.
  • You must not upload illegal content, malware, or harmful code.

We store and process Customer Data using GDPR compliant infrastructure located in Frankfurt, Germany.

4. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Services, you agree to our data‑processing practices as outlined there.

5. Acceptable Use

You must not:

  • Violate any applicable law or regulation.
  • Attempt to hack, reverse‑engineer, or disrupt the Services.
  • Use the Services to send spam, abuse, threats, or unlawful communications.
  • Interfere with other users’ access or overload the infrastructure.
  • Misuse APIs, integrations, or automation features.

We may monitor usage to maintain service integrity and security.

6. Fees and Payments

  • Paid plans are billed according to the pricing presented at the time of subscription.
  • Fees are non‑refundable unless required by law.
  • Failure to pay may result in suspension or termination of access.
  • We may update pricing with prior notice.

7. Intellectual Property

All intellectual property related to the Services, including software, interfaces, designs, trademarks, and documentation, remains the property of Simplism or its licensors.

8. Third‑Party Services

The Services may integrate with third‑party applications. Simplism is not responsible for the availability, security, or performance of third‑party services.

9. Service Availability

We aim for high-uptime and reliability, but the Services may occasionally be interrupted due to maintenance, upgrades, failures, or factors outside our control.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided as‑is and as‑available, without warranties of any kind.

11. Limitation of Liability

To the extent permitted by law:

  • Simplism’s total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

Either party may terminate the agreement at any time by closing the account or providing written notice. Simplism may suspend or terminate your access immediately if you violate these Terms or create operational or security risks.

13. Governing Law

  • For customers contracting with Simplism.io BV: Dutch law applies and disputes fall under the courts of the Netherlands.
  • For customers contracting with Simplism.io Development Pte Ltd: Singapore law applies and disputes fall under the courts of Singapore.

14. Changes to These Terms

We may update these Terms periodically. Continued use of the Services after updated Terms become effective constitutes acceptance.
